1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ZagAIrot Technologies LLC ("ZagAIrot," "we," "us," or "our"). By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
2. Description of Services
ZagAIrot operates an AI governance and intelligence platform that includes the following services (collectively, the "Services"):
- DonDataBrain Platform: AI-powered data intelligence, agent management, and governance tools.
- PLUG Products: PLUG (task management), Chuck (bot builder), and ArkHive (policy governance) applications available as standalone subscriptions.
- AI Agent Spawning: Creation and deployment of custom AI agents through the platform's agent infrastructure.
- Website Hosting: Hosted websites and landing pages on *.dondatabrain.com subdomains.
- RIVAAR: Spatial web interface, Rez identity, and marketplace services.
- API Access: Programmatic access to platform features through documented APIs.
3. Account Terms
3.1 Eligibility
You must be at least 18 years of age to create an account and use our Services. By creating an account, you represent and warrant that you meet this requirement.
3.2 Account Security
You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at shahram@zagairot.com if you become aware of any unauthorized use of your account.
3.3 One Person Per Account
Each account is for use by a single individual. Sharing account credentials with multiple people is prohibited. Organizations requiring multiple users must create separate accounts for each user or contact us for an enterprise arrangement.
3.4 Account Information
You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary to keep it accurate.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Services for any illegal activity, including but not limited to fraud, harassment, defamation, or distribution of illegal content.
- Abuse, exploit, or misuse AI agents in ways that cause harm to others, generate illegal content, or violate the rights of third parties.
- Attempt to circumvent, disable, or interfere with the platform's governance systems, security features, or access controls.
- Reverse engineer, decompile, or disassemble any part of the platform's software or infrastructure.
- Use automated tools to scrape, crawl, or extract data from the platform without written authorization.
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
- Upload or transmit viruses, malware, or any code designed to interrupt, destroy, or limit the functionality of the Services.
- Use the platform to build competing AI governance or certification services without written agreement.
Violation of these terms may result in immediate suspension or termination of your account without refund.
5. Payment Terms
5.1 Payment Processing
All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis at the applicable rate.
5.2 Subscriptions
Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.
5.3 Cancellation
When you cancel a subscription, you retain access to paid features through the end of your current billing period. No partial refunds are issued for unused time within a billing period.
5.4 Credits and Tokens
ZAG tokens, platform credits, and agent spawn credits are non-refundable once purchased. Unused credits do not expire unless your account is terminated for violation of these Terms.
5.5 Price Changes
We reserve the right to modify pricing with 30 days' notice. Price changes apply to the next billing cycle after the notice period. Active subscriptions are honored at their current rate until renewal.
6. Intellectual Property
6.1 Your Data
You retain full ownership of all data, content, and materials you upload to or create within the platform. This includes conversation logs, bot configurations, task data, documents, and any other user-generated content. We do not claim ownership of your data.
6.2 Our Platform
ZagAIrot owns all rights, title, and interest in and to the platform, including but not limited to the software, algorithms, AI models, governance frameworks, ArkHive Protocol, Recursive Intelligence architecture, user interface designs, trademarks, and all related intellectual property. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.
6.3 License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms.
7. AI-Generated Content
The Services include features that generate content using artificial intelligence, including but not limited to text responses, code, analysis, recommendations, and governance assessments.
ZagAIrot does not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose. You agree not to rely on AI-generated output as the sole basis for legal, medical, financial, or other professional decisions without independent verification.
8. Hosted Websites
If you use our website hosting services on *.dondatabrain.com subdomains:
- You are responsible for all content published on your hosted site.
- Your hosted site must comply with all applicable laws and these Terms of Service.
- ZagAIrot reserves the right to remove or disable any hosted site that violates these Terms, contains illegal content, distributes malware, or is used for phishing, fraud, or other harmful activities.
- We will make reasonable efforts to notify you before removing a hosted site, except in cases requiring immediate action to protect other users or comply with legal requirements.
- ZagAIrot is not liable for any loss resulting from the removal of a hosted site that violates these Terms.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAGAIROT TECHNOLOGIES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Indemnification
You agree to indemnify, defend, and hold harmless ZagAIrot Technologies LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting us at shahram@zagairot.com or through your account settings. Upon termination, your right to use the Services ceases immediately.
11.2 Termination by Us
We may suspend or terminate your account at any time for violation of these Terms, illegal activity, non-payment, or any other reason at our sole discretion. We will provide notice of termination when reasonably possible.
11.3 Effect of Termination
After account termination, your data will remain available for export for 30 days. After the 30-day export window, your personal data will be deleted in accordance with our Privacy Policy. ArkHive audit records that are part of the governance chain are permanent and will not be deleted, though they will be anonymized where possible.
12. Dispute Resolution
Any disputes arising out of or related to these Terms or the Services shall first be addressed through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or the courts, as described below.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in the State of Wyoming for any legal proceedings arising out of these Terms.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Services and terminate your account.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZagAIrot Technologies LLC regarding your use of the Services and supersede all prior agreements, representations, and understandings.
